These Terms form a legally binding agreement between you (“User”, “Client”, or “Customer”) and the Company.

2. Definitions

  • “User” means any individual or entity accessing or using our services.
  • “Services” refers to messaging, communication facilitation, customer engagement, automation, and related business services.
  • “Platform” means our website, WhatsApp Business API, RCS channels, and associated systems.
  • “Meta” refers to Meta Platforms Inc., including WhatsApp.
  • “RCS” refers to Rich Communication Services provided through telecom operators.

3. Acceptance of Terms

By using our Services, you confirm that:

  • You have read and understood these Terms
  • You agree to comply with all applicable Indian laws
  • You agree to comply with Meta and RCS policies

Continued usage constitutes ongoing acceptance of updated Terms.

4. Description of Services

Shirsat/Ghodele/Trivedi provides business-related communication services including but not limited to:

  • WhatsApp Official API based messaging
  • RCS-based business messaging
  • Customer communication facilitation
  • Notifications, alerts, and transactional messages

Services may evolve over time, and we reserve the right to modify or discontinue any feature without prior notice.

5. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be legally capable of entering into a binding contract
  • Use services only for lawful business purposes

Use by minors or unauthorized parties is strictly prohibited.

6. Account Registration

8. Payment & Billing Terms

  • Payments must be made in Indian Rupees unless specified
  • Late or failed payments may result in service interruption
  • All payments are non-refundable unless explicitly agreed

Taxes and government charges are borne by the User.

9. Subscription Renewal & Termination

Subscriptions may auto-renew unless cancelled in writing.
We reserve the right to terminate services:

  • For policy violations
  • For non-payment
  • If required by law or platform providers

Termination does not waive outstanding payment obligations.

10. Use of WhatsApp Official API & RCS

Users acknowledge:

  • WhatsApp services are governed by Meta policies
  • RCS services depend on telecom operator availability
  • Message delivery is not guaranteed

We are not responsible for platform-level restrictions or suspensions.

11. Message Delivery & Compliance Policy

Delivery depends on:

  • User consent
  • Network availability
  • Platform approvals

We strictly prohibit:

  • Promotional spam
  • Unsolicited messaging
  • Illegal or deceptive content

12. Intellectual Property Rights

All content, trademarks, logos, and systems belong to Shirsat/Ghodele/Trivedi unless otherwise stated. Unauthorized use is prohibited.

13. Confidentiality

We maintain confidentiality of business data but are not liable for disclosures required by law, regulatory authorities, or platform providers.

14. Disclaimer of Warranties

Services are provided on an “as-is” basis.
We do not guarantee uninterrupted, error-free, or secure service.

15. Limitation of Liability

To the maximum extent permitted by law, Shirsat/Ghodele/Trivedi shall not be liable for indirect, incidental, or consequential damages.

16. Indemnification

You agree to indemnify and hold harmless the Company against any claims arising from misuse, non-compliance, or unlawful activities.

17. Governing Law (India)

These Terms are governed by the laws of India. Courts in Aurangabad, Maharashtra shall have exclusive jurisdiction.

18. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance of revised Terms.
